Intellectual Property, Repository & CMS Ownership
- Ownership Transfer: Rooikat.io retains full ownership of all custom source code, designs, and digital assets developed during the project until the client pays the total project Setup Fee in full. Upon receipt of 100% final payment, full ownership of the frontend source code transfers to the client.
- Headless CMS (Sanity.io) Dependency: Access to the managed Content Management System (Sanity.io Studio environment, schema maintenance, and live content database hosting) is provided exclusively as part of an active monthly maintenance subscription (Pro CMS Plan).
- Subscription Cancellation & CMS Deactivation: If the client cancels their monthly maintenance subscription, the managed Sanity.io Studio instance and database hosted under Rooikat.io’s organization will be permanently deactivated and deleted after a 30-day grace period. The client retains full ownership of their frontend codebase (Next.js/React).
- Code Migration Request: If a client chooses to cancel their subscription but wishes to host their code independently, they must send a request to info@rooikat.io. Rooikat.io will transfer full access to the project's source code repository (e.g., GitHub). The client will be responsible for setting up and configuring their own independent CMS or hosting environment.
- Portfolio Rights: Rooikat.io reserves the right to display completed visual work and case studies within our official agency portfolio and marketing channels, unless restricted under a signed Non-Disclosure Agreement (NDA).
- Setup Fee Coverage (Build & Deployment Setup Only): The initial Setup Fee covers custom design, bespoke engineering, architecture deployment, and initial setup only. It does not include ongoing hosting, SSL renewals, or security maintenance.
- Continuous Hosting & WaaS Subscription: High-performance enterprise cloud hosting (up to 100k views / 10GB bandwidth, then overage at cost), SSL management, and security updates are provided exclusively through an active Monthly Care Plan ($99 USD/month Standard or $149 USD/month Pro) starting upon live production launch.
- Annual Domain Renewal & Transfer Guarantee: Annual domain renewal (.com) is included for free as long as an active Monthly Care Plan subscription is maintained. If the client cancels their Care Plan or chooses not to renew WaaS, Rooikat.io transfers full ownership of the domain directly to the client at no extra fee upon offboarding, along with the frontend repository (GitHub). The client then becomes solely responsible for their independent hosting and domain renewals.
