Intellectual Property, Repository & CMS Ownership
- Ownership Transfer: Rooikat.io retains full ownership of all custom source code, designs, and digital assets developed during the project until the client pays the total project Setup Fee in full. Upon receipt of 100% final payment, full ownership of the frontend source code transfers to the client.
- Headless CMS (Sanity.io) Dependency: Access to the managed Content Management System (Sanity.io Studio environment, schema maintenance, and live content database hosting) is provided exclusively as part of an active monthly maintenance subscription (Pro CMS Plan).
- Subscription Cancellation & CMS Deactivation: If the client cancels their monthly maintenance subscription, the managed Sanity.io Studio instance and database hosted under Rooikat.io’s organization will be permanently deactivated and deleted after a 30-day grace period. The client retains full ownership of their frontend codebase (Next.js/React).
- Code Migration Request: If a client chooses to cancel their subscription but wishes to host their code independently, they must send a request to hello@rooikat.io. Rooikat.io will transfer full access to the project's source code repository (e.g., GitHub). The client will be responsible for setting up and configuring their own independent CMS or hosting environment.
- Portfolio Rights: Rooikat.io reserves the right to display completed visual work and case studies within our official agency portfolio and marketing channels, unless restricted under a signed Non-Disclosure Agreement (NDA).
